Explaining a cross-border structure

A company in country A, a UBO in country B, activity in countries C and D isn't illegal by itself - but without a clear narrative, perceived risk climbs fast. The fix is a stated commercial rationale and an org chart, not restructuring.

The issue

Opaque corporate structures - chains of holding companies, nominee arrangements, offshore jurisdictions, or multiple entities with no clear commercial rationale - are one of the recurring risk factors compliance teams are trained to look for. Combinations like "EU company, UBO resident elsewhere, activity in third countries" demand a much more robust explanation, or they read as arbitrage.

Why institutions ask

The structure itself is rarely the problem - the missing narrative is. What a reviewer needs: why the company is incorporated where it is (market access, the founders' tax residency, an existing client base - the genuine reason, stated plainly), where the beneficial owners actually reside, where operational activity takes place and through what (contractors, suppliers, local presence), and a chain of control that adds up to 100% with no unexplained gaps.

What usually helps

Prepare a short org chart clarifying the control structure, proof of address for the relevant individuals, and the one-paragraph explanation the cross-border structure template in this plan generates. Where holdings are indirect, show the chain of control explicitly - percentages that don't add up, or control exercised through side agreements nobody mentioned, are exactly what turns a routine review into EDD.
